Tesla has officially set its annual shareholder meeting for November 6, following months of mounting pressure from investors demanding the company comply with corporate governance rules.

The announcement, filed Thursday, comes just one day after a group of Tesla shareholders—including public pension fund officials—sent a letter urging the company to set a meeting date, as required under Texas law. Texas regulations mandate that corporations hold annual meetings every 13 months. Tesla’s scheduled date falls roughly four months beyond that legal deadline.

“This delay is particularly troubling in light of the growing investor scrutiny Tesla faces,” the shareholder group’s letter stated. Among the signatories was New York City Comptroller Brad Lander, who said the announcement was a welcome but overdue move.

“Tesla’s announcement of its annual shareholder meeting is a welcome, if belated, recognition that the rule of law applies to everyone—even the world’s richest man and his company,” Lander told CNN.

Tesla has not publicly explained the delay and did not respond to media inquiries.

The delayed meeting highlights broader concerns among investors. Tesla is facing its worst sales decline in company history, shrinking profits, falling stock prices, and shifting U.S. electric vehicle incentives that could affect future revenue. Additionally, CEO Elon Musk’s political involvement and past association with President Donald Trump have stirred brand backlash.

Investor firms like Wedbush Securities have expressed that Tesla’s current situation marks a tipping point. Analysts say the upcoming meeting could give shareholders a platform to voice concerns, though it’s noted that companies like Tesla typically control which questions are addressed during such meetings.

Despite these concerns, Tesla shareholders have historically supported Musk, as seen in last year’s vote favoring the reinstatement of his 2018 pay package—an action later voided by a Delaware court. Tesla is appealing that ruling.

The November meeting gives shareholders an official forum, but it remains to be seen whether their concerns will lead to real changes in Tesla’s leadership or business strategies.
